Document Status and Drafting Assumptions

These Terms govern website and software use and include subscription, intellectual-property, professional-disclaimer, liability, and dispute-resolution provisions. This draft assumes that The Tax Truths Technologies, Inc., a California entity, owns and operates both TheTaxTruth.com and YourTaxLine.com; offers subscription-based tax software, calculators, workflow tools, educational content, webinars, an LMS, document-upload functionality, and AI-assisted features; and may separately offer professional services under written agreements. The draft intentionally avoids promising specific technical controls or compliance certifications that must be verified operationally.Bracketed items are launch-blocking placeholders. Terms such as “Company,” “Services,” “Platform,” “User,” “Customer,” “Personal Information,” and “Professional Services” are used consistently throughout the package.

1. Agreement to Terms

These Terms of Service (“Terms”) form a binding agreement between you and The Tax Truths Technologies, Inc.. They govern access to and use of TheTaxTruth.com and YourTaxLine.com, associated applications, software, calculators, dashboards, content, courses, webinars, portals, AI-assisted features, and related services (collectively, the “Services”). By clicking acceptance, creating an account, purchasing a subscription, or using the Services, you agree to these Terms and incorporated policies. If you act for an entity, you represent that you have authority to bind it.

2. Eligibility and Accounts

  • You must be at least 18, legally capable of contracting, and not prohibited from using the Services.
  • Account information must be accurate, current, and complete. You are responsible for all activity under your credentials and for authorized users.
  • You may not share credentials except through approved team features. Notify us promptly of suspected unauthorized access.
  • Enterprise administrators may manage users, access content, and control account settings as described in the applicable order or agreement.

3. Nature of the Services

The Services provide software tools, educational content, scenario modeling, workflow support, and informational outputs. Features may help organize data, illustrate potential tax or financial considerations, generate questions for professionals, and facilitate collaboration. Unless expressly stated in a separate written engagement signed by an authorized representative, the Services do not include tax-return preparation, legal representation, accounting attest services, investment advisory services, brokerage services, insurance placement, or fiduciary services.

4. No Professional Relationship or Reliance

Use of the Services alone does not create an attorney-client, accountant-client, tax-preparer, investment-adviser, broker-dealer, insurance-producer, fiduciary, or other professional relationship. Content and outputs are general and educational, may not reflect current law or all relevant facts, and are not a substitute for advice from appropriately licensed professionals who review the user’s complete circumstances. You are solely responsible for filing, reporting, elections, substantiation, recordkeeping, implementation, and decisions. No result, deduction, savings, refund, return, approval, audit outcome, or legal treatment is guaranteed.

5. Orders, Plans, and Fees

Plan features, usage limits, fees, billing periods, implementation fees, trial terms, and taxes will be stated on the order page or Order Form. Except as expressly stated, fees are in U.S. dollars and exclude applicable taxes. You authorize us and our payment processor to charge the payment method provided for all amounts due. We may correct pricing errors before fulfillment and may change future pricing upon advance notice required by law or contract.

6. Automatic Renewal and Cancellation

Unless the order states otherwise, paid subscriptions automatically renew for successive periods equal to the initial subscription period until cancelled. Before purchase, the checkout flow must clearly disclose recurring charges, renewal frequency, material terms, and cancellation method. You may cancel through the account billing or subscription settings available within the applicable Service or by contacting the support contact method published in the Legal Center. Cancellation stops future renewals but does not retroactively refund charges except as required by law or the Refund Policy. Access generally continues through the paid term. We may send renewal reminders where required.

7. Trials and Promotions

Trials and promotional offers may be subject to additional terms. If payment information is required and a trial converts to a paid subscription, the conversion date, price, frequency, and cancellation method must be conspicuously disclosed before enrollment. One trial per customer or organization may be enforced. We may modify or withdraw promotions prospectively, subject to law.

8. License and Access Rights

Subject to compliance and payment, we grant a limited, non-exclusive, non-transferable, non-sublicensable, revocable right during the subscription term to access and use the Services for internal business or personal planning purposes consistent with the plan. No ownership is transferred. All rights not expressly granted are reserved.

9. Customer Content and Data

As between the parties, you retain ownership of content you submit. You grant us and our processors a worldwide, limited license to host, copy, transmit, display, process, analyze, and modify Customer Content only as reasonably necessary to provide, secure, support, and improve the Services; comply with law; and as otherwise authorized. You represent that you have all rights, notices, permissions, and lawful bases necessary for submitted content, including third-party and client information.

10. Acceptable Use

  • Do not violate law, professional duties, sanctions, export controls, privacy rights, intellectual-property rights, or contractual restrictions.
  • Do not upload malware, exploit vulnerabilities, interfere with systems, bypass access controls, probe without authorization, or conduct denial-of-service activity.
  • Do not reverse engineer, decompile, scrape, harvest, frame, mirror, or systematically extract data except where non-waivable law permits.
  • Do not resell, sublicense, timeshare, publish, or provide service-bureau access unless an agreement expressly allows it.
  • Do not submit information you lack authority to process, including another person’s tax data, credentials, or confidential records.
  • Do not use outputs to deceive, discriminate unlawfully, evade taxes, conceal assets, facilitate fraud, or make high-impact decisions without required human review.
  • Do not remove proprietary notices or imply endorsement, certification, or professional approval by the Company.

11. AI-Assisted Features

AI features may generate probabilistic outputs and can hallucinate, omit facts, misunderstand context, or reflect outdated information. You must independently verify all outputs and use qualified human review before relying on them. Do not submit confidential, privileged, regulated, or sensitive information unless the applicable feature and agreement expressly support it. We may use automated and human measures to detect abuse and improve safety. Additional terms appear in the AI Disclosure.

12. Professional and Regulated Activities

Any separately offered tax, investment-advisory, insurance, legal, or accounting service is governed exclusively by the applicable written engagement, Form ADV, advisory agreement, insurance disclosures, professional-services agreement, or other required documentation. Nothing in the Services is an offer to buy or sell securities, a recommendation of a specific security or insurance product, or legal advice. Availability may vary by jurisdiction and licensing status.

13. Intellectual Property

The Services, software, source and object code, interfaces, workflows, taxonomies, databases, reports, designs, audiovisual content, courses, documentation, branding, and methodologies—including , The Tax Truths™ Technologies, Your Tax Line™, and related products, services, methodologies, courses, and software—are owned by or licensed to the Company and protected by intellectual-property laws. Feedback may be used without restriction or compensation, provided we do not publicly identify you without permission.

14. Third-Party Services

Third-party services may be linked or integrated. We do not control their availability, terms, security, accuracy, or privacy practices. Your use may require separate accounts and acceptance of third-party terms. We may modify or discontinue integrations. We are not responsible for third-party acts or omissions except to the extent liability cannot be disclaimed by law.

15. Service Changes, Availability, and Beta Features

We may improve, modify, limit, suspend, or discontinue features. We do not warrant uninterrupted or error-free availability. Planned maintenance may occur. Beta, preview, or experimental features are provided “as is,” may be changed or discontinued without notice, and should not be used for critical production decisions unless expressly approved.

16. Confidentiality

Each party may receive nonpublic information identified as confidential or reasonably understood to be confidential. The recipient will use it only to perform under the agreement and protect it using reasonable care. Exclusions include information independently developed, lawfully received without duty, publicly available without breach, or approved for release. Legally compelled disclosure is permitted after notice where lawful.

17. Privacy and Security

Our Privacy Policy describes processing of Personal Information. Enterprise processing may be governed by a Data Processing Addendum. You are responsible for configuring access, managing authorized users, obtaining required consents, and making legally required notices to individuals whose information you submit. Security descriptions are not warranties and do not shift your compliance obligations.

18. Suspension and Termination

We may suspend or terminate access for nonpayment, security risk, material breach, unlawful activity, abuse, or risk to users or systems. Where practicable, we will provide notice and an opportunity to cure. You may terminate by cancelling and ceasing use. Upon termination, access ends and data may be deleted according to the Privacy Policy, applicable agreement, and retention schedule. Sections intended by nature to survive will survive.

19. Disclaimers

To the maximum extent permitted by law, the services are provided “as is” and “as available.” The company disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and warranties arising from course of dealing. We do not warrant that outputs are complete, current, error-free, accepted by any authority, or suitable for a particular user.

20. Limitation of Liability

To the maximum extent permitted by law, the company and its affiliates, owners, personnel, licensors, and providers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages; lost profits, revenue, savings, data, goodwill, or business interruption; taxes, penalties, interest, audit costs, investment losses, or implementation costs; or damages arising from reliance on outputs, even if advised of the possibility. The aggregate liability arising from the services will not exceed the greater of $100 or fees paid by the claimant for the affected services during the 12 months before the event. Some jurisdictions do not allow certain exclusions, so they apply only to the extent permitted.

21. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless the Company Parties from third-party claims, losses, and expenses arising from Customer Content, your violation of law or these Terms, your professional services or advice, your misuse of outputs, or infringement of another’s rights. We may control the defense with counsel of our choosing, and you may not settle a claim imposing liability or admission on us without consent.

22. Dispute Resolution; Arbitration; Class Waiver

Please read carefully. Except for eligible small-claims matters, requests for public injunctive relief where non-waivable law requires a court forum, and intellectual-property or unauthorized-access claims seeking equitable relief, disputes will be resolved by individual binding arbitration administered by JAMS under its applicable consumer or commercial rules. Before filing, the claimant must send a detailed notice to the legal notice contact method published in the Legal Center and allow 30 days for informal resolution. Arbitration will occur remotely or in San Joaquin County, California, unless law requires otherwise. Each party waives jury trial and participation in class, collective, representative, or consolidated actions. Users may opt out within 30 days of first acceptance by sending the required information to the legal notice address published in the Legal Center. Counsel must review enforceability, provider rules, fee allocation, and mass-arbitration procedures before launch.

23. Governing Law and Venue

These Terms are governed by the laws of California, without regard to conflicts principles, except that the Federal Arbitration Act governs arbitration. Court proceedings not subject to arbitration will be brought exclusively in state or federal courts located in San Joaquin County, California, and the parties consent to jurisdiction, subject to non-waivable consumer law.

24. Electronic Communications

You consent to receive agreements, notices, disclosures, records, and communications electronically and agree that electronic records and signatures satisfy legal writing requirements. You may withdraw consent as described in the E-Sign Consent, but doing so may require account termination if electronic delivery is essential.

25. Changes to Terms

We may update these Terms prospectively. Material changes will receive notice appropriate to the circumstances and law. Changes to arbitration will not apply retroactively to disputes already noticed. Continued use after the effective date constitutes acceptance where permitted; if consent is legally required, we will request it.

26. General Terms

  • Neither party may assign the agreement without consent, except the Company may assign in connection with a merger, reorganization, financing, or sale of business or assets.
  • Failure to enforce is not a waiver. Invalid provisions will be modified to the minimum extent necessary, and the remainder remains effective.
  • These Terms and incorporated documents are the entire agreement for the Services unless an Order Form or signed agreement states otherwise.
  • No third party is a beneficiary except Company Parties protected by disclaimers, limitations, and indemnities.
  • Headings are for convenience. “Including” means “including without limitation.” Electronic copies are originals.
  • Neither party is liable for delay caused by events beyond reasonable control, except payment obligations.

27. Contact and Notices

Legal notices to the Company must be sent to the legal notice contact method published in the Legal Center and the business mailing address published in the Legal Center.
