This agreement supplements the Terms for paid subscription plans and includes an Order Form template. This draft assumes that The Tax Truths Technologies, Inc., a California entity, owns and operates both TheTaxTruth.com and YourTaxLine.com; offers subscription-based tax software, calculators, workflow tools, educational content, webinars, an LMS, document-upload functionality, and AI-assisted features; and may separately offer professional services under written agreements. The draft intentionally avoids promising specific technical controls or compliance certifications that must be verified operationally.Bracketed items are launch-blocking placeholders. Terms such as “Company,” “Services,” “Platform,” “User,” “Customer,” “Personal Information,” and “Professional Services” are used consistently throughout the package.
This SaaS Subscription Agreement applies to paid access to the Services. The applicable Order Form, checkout page, plan description, these subscription terms, Terms of Service, Privacy Policy, and incorporated policies form the agreement. A negotiated Order Form controls over conflicting standard terms, followed by this Agreement and then incorporated policies.
During the Subscription Term and subject to payment and compliance, Customer and its Authorized Users may access the purchased Services within plan limits for internal business purposes. Customer is responsible for users, configurations, permissions, and use of outputs.
Each order should identify: legal customer name; billing contact; plan; authorized-user count; included modules; usage limits; implementation services; subscription start date; initial term; renewal term; fees; billing frequency; taxes; payment method; cancellation method; support tier; data location if promised; and any negotiated terms. No sales statement changes the agreement unless included in a signed order.
Fees are due as stated and are generally non-cancellable and non-refundable except as required by law or expressly provided. Customer authorizes recurring charges. Customer is responsible for sales, use, value-added, withholding, and similar taxes other than taxes on Company net income. Past-due amounts may accrue interest at the lesser of 1.5% per month or the lawful maximum, plus reasonable collection costs. We may suspend for nonpayment after notice.
Subscriptions automatically renew as disclosed in the order unless timely cancelled. Cancellation must be at least as easy as enrollment where required by law. Downgrades take effect at renewal unless stated otherwise. Upgrades may take effect immediately with prorated charges. Usage above limits may be blocked, billed at disclosed overage rates, or require an upgrade.
Refund eligibility is governed by the Refund and Cancellation Policy and non-waivable law. The Company should choose and insert one operational policy before launch: no refunds after access except where required by law, 14-day satisfaction window, or prorated refunds for qualifying enterprise termination only. Chargebacks do not replace the cancellation process and may result in suspension while investigated.
Implementation dates depend on timely Customer cooperation, access, accurate information, decisions, and third-party readiness. Delays caused by Customer may shift timelines without extending payment dates. Unless expressly included, data cleanup, tax-return preparation, legal analysis, custom development, and integration work are out of scope.
Standard support channels and hours are the support contact methods published in the Legal Center. Target response times are goals unless a signed Service Level Agreement states remedies. Scheduled maintenance, emergency maintenance, internet failures, third-party outages, beta features, and force-majeure events are excluded from availability calculations.
Customer owns Customer Data. The Company processes it to provide and secure the Services, follow documented instructions, comply with law, and as otherwise permitted. If the Company processes regulated personal data on Customer’s behalf, the parties will execute a Data Processing Addendum addressing roles, subprocessors, security, assistance, deletion, transfers, and audit information.
The Company will maintain a risk-based information-security program appropriate to the Services and information processed. Customer will manage identity, least-privilege access, secure devices, user training, exports, and incident reporting. Neither party may represent that the Services are HIPAA, GLBA, SOC 2, PCI DSS, or other framework compliant unless the applicable scope and documentation support that claim.
Confidential Information will be protected using at least reasonable care and used only for the agreement. Upon request or termination, it will be returned or destroyed subject to legal retention and backups. Equitable relief may be available for unauthorized use or disclosure.
The Company warrants that it will provide paid Services in a professional and workmanlike manner and that, during the term, the Services will materially conform to published documentation. The exclusive remedy is re-performance or, if not commercially reasonable, termination of the affected Service and refund of prepaid unused fees for the affected period. All other warranties are disclaimed as stated in the Terms.
Each party will comply with laws applicable to its own performance. Customer is solely responsible for professional duties, client consents, engagement terms, filings, advice, and determinations made using the Services. The Company is not responsible for Customer’s client relationship or unauthorized practice.
Customer indemnifies the Company for third-party claims arising from Customer Data, Customer services, unlawful use, or breach. The Company may defend Customer against a third-party claim that the unmodified paid Services infringe U.S. intellectual-property rights, subject to exclusions for Customer Data, combinations, modifications, continued use after notice, or use outside documentation. Remedies may include modification, replacement, procurement of rights, or termination with a prorated refund.
Except for excluded claims stated in a negotiated Order Form, each party’s aggregate liability will not exceed fees paid or payable for the affected Services during the 12 months preceding the event. Neither party is liable for consequential, indirect, special, exemplary, or punitive damages or lost profits, revenue, savings, goodwill, or data. The cap does not apply where prohibited by law and should be negotiated for enterprise customers based on risk and insurance.
The Agreement begins on acceptance and continues through all Subscription Terms. Either party may terminate for uncured material breach after 30 days’ written notice, or 10 days for nonpayment, unless cure is impossible. A party may terminate immediately for insolvency where lawful, unlawful conduct, or critical security risk. On termination, fees already due remain payable and access ends.
During the term and for 30 days after expiration, Customer may export supported data using available tools, subject to payment and security verification. After that period, the Company may delete Customer Data except as legally required or retained in backups. Custom migration assistance may be billable.
The arbitration, governing-law, notices, assignment, force-majeure, severability, waiver, and entire-agreement provisions in the Terms apply unless a signed Order Form states otherwise. Purchase-order terms are rejected unless expressly accepted in writing.
